Here's the part that matters for your books: the exemption has to be proven. A buyer being a genuine reseller isn't what protects you. What protects you is a valid resale or exemption certificate — the document in which the buyer certifies, on their own registration and their own liability, that the purchase qualifies. Which certificate, issued where, covering what: those specifics vary by jurisdiction, so confirm the requirements for your situation with your tax professional. The operational rule doesn't vary at all.

The lie almost every wholesale seller starts with is comfortable and reasonable-sounding: "they're a real business — they told us they're exempt, and that's their responsibility, not ours."
It fails on one structural fact: when you sell without charging tax, you are the one who didn't collect. The certificate is what shifts responsibility to the buyer — with a valid one on file, taken in good faith, the buyer's claim is the buyer's problem. Without one, an auditor is generally entitled to treat the sale as taxable, and the assessment lands on you: the uncollected tax, plus penalties and interest, for every undocumented exempt sale in the audit window. Your buyer is under no obligation to reimburse you years later, and some of them will no longer exist.
So the operational duty is blunt, and it's the whole discipline in one sentence: collect a valid certificate before you zero-tax anyone, and retain it for as long as your tax professional tells you to. An exemption you can't document isn't an exemption. It's an unpaid tax bill with your name on it.
None of this makes the buyer your adversary. Legitimate resellers carry these certificates routinely and expect to be asked. The ones who go quiet when you ask are telling you something useful.

Treat certificates like the financial documents they are, not like onboarding paperwork to be filed and forgotten. Four habits cover it:
- Collect before the first zero-tax order. Make the certificate a gate in your wholesale onboarding — application approved, certificate received and reviewed, then the exempt flag gets set. Sanity-check it on receipt: complete, signed, business name matching the account, registration number present. A form with blank fields protects nobody.
- Store it where the order data lives. A certificate you can't produce might as well not exist. Keep a digital copy attached to (or linked from) the customer record, so any exempt sale traces to its document in minutes — not to a folder on someone's departed laptop.
- Track expirations. Some certificates are open-ended; others expire or need periodic renewal — which is which depends on the jurisdiction, a your-tax-professional question. Your job is the operational half: record a review date for every certificate and put renewals on a calendar. A certificate that lapsed eighteen months ago quietly turns every order since into an undocumented exempt sale.
- Mind where each certificate applies. A certificate is not a universal pass — its validity can depend on where the buyer is registered and where the sale happens, and if you ship wholesale into multiple states, the certificate covering one relationship may not stretch to another. Ask your tax professional where yours do and don't reach, and collect accordingly.
The pattern behind all four: an auditor's first move on exempt sales is to sample them and ask for the certificate behind each one. Hygiene means that request is boring.

Now the books themselves — because there's a difference between an order that was correctly exempted and an order where tax simply isn't there, and your ledger should be able to tell them apart.
A zero tax line is not the same as a missing tax setup. A properly recorded exempt sale posts with its tax explicitly zero — the order ran through your tax logic and the exemption was applied. An order with no tax treatment at all looks identical on an invoice and means something completely different: nobody decided anything. If your books can't distinguish "exempt by documented decision" from "untaxed by accident," neither can anyone reviewing them. Segregate exempt revenue from taxed revenue. Keep exempt wholesale sales visible as their own slice — a separate income account, a class, or at minimum a tagging convention that reports "taxed sales" and "exempt sales" as distinct numbers per period. Two reasons. First, sales tax filings commonly ask for gross sales and exempt or deducted sales, not just tax collected — if your ledger can't produce the split, someone rebuilds it from order exports every filing period. Second, it's your early-warning system: if exempt revenue is 40% of sales but your certificates only cover accounts worth 25%, that gap is visible before an auditor finds it.
A quick fictional example. March closes at $80,000 in sales: $62,000 retail (taxed, the collected tax sitting in a liability account) and $18,000 wholesale to four exempt accounts. Clean books show the $18,000 as exempt revenue, each account traceable to a certificate on file, and a tax liability that reconciles against the taxed $62,000 — three numbers that corroborate each other. Books that just show $80,000 of revenue with some tax collected show nothing at all.
